1. Website Operator and Purpose
The website is operated by PROMACH LTD (“PROMACH”, “we”, “us”) and is intended primarily for business and professional users interested in woodworking machinery and related services.
The website provides information concerning PROMACH's activities, machinery, services and commercial opportunities and allows users to:
request information; submit requests for quotation (RFQs); discuss technical or commercial requirements; propose used machinery for evaluation or possible purchase by PROMACH; contact PROMACH regarding sales, sourcing, brokerage, service or related business activities.
The website is not an online shop and does not itself provide an automated mechanism for concluding a contract for the purchase or sale of machinery. Submitting a form, selecting machinery, requesting information or receiving an automated confirmation does not, by itself, create a binding contract or payment obligation.
2. Information About Machinery and Services
Descriptions, photographs, videos, technical data, catalogues and other materials published on the website are intended to help users identify machinery and evaluate potential business opportunities.
Unless expressly stated otherwise in an individual quotation or contractual document, website content constitutes general information and an invitation to request further information or an individual quotation. It does not constitute a binding contractual offer.
PROMACH seeks to keep website information reasonably accurate and current. Information concerning machinery may originate from manufacturers, suppliers, previous owners or other third parties and may require further verification.
In the case of used machinery:
current equipment may differ from the original manufacturer specification; components or accessories may have been replaced, removed or modified; normal wear may be present; operating hours, year of manufacture and other historical information may depend on available documents or information supplied by third parties.
Where photographs or illustrations are representative rather than images of the specific machinery offered, this should be identified or clarified in the relevant commercial documentation.
Product Images, Colours and Visual Details Photographs, renders and other product images published on the website are provided for presentation and identification purposes. The manufacturer or supplier may make non-material changes to colours, paint finishes, exterior panel colours or other visual details of the machinery without prior notice. Such visual changes do not affect the agreed technical configuration, included components, functions, operating processes, safety, intended use or performance of the machinery. Where a specific colour scheme or visual finish has been expressly agreed as part of an individual transaction, the relevant contractual documentation shall prevail.
The technical configuration, included equipment, documentation, performance requirements and other characteristics contractually agreed for a particular transaction are determined by the relevant quotation, order confirmation, sales contract or other individual contractual documents.
3. Availability, Prices and Requests for Quotation
The presence of machinery on the website does not guarantee that it remains available. Availability, reservation possibilities and commercial terms are confirmed individually by PROMACH.
Prices are not displayed on the website. Prices, currency, VAT treatment and the relevant inclusions or exclusions are set out in the individual quotation. Unless the quotation expressly states otherwise, prices do not include dismantling, packaging, loading, transport, insurance, customs formalities, installation, commissioning, training or other services.
To request a quotation, users must provide reasonably accurate contact and project information. PROMACH may request additional technical or commercial information before preparing a quotation. Submitting an RFQ: does not oblige the user to purchase; does not oblige PROMACH to sell; does not reserve the machinery; does not constitute acceptance of proposed commercial terms. Automated messages confirm receipt only and do not constitute an order confirmation or contract acceptance.
4. Proposing Used Machinery to PROMACH
Users may submit information concerning used machinery which they wish PROMACH to evaluate for possible purchase, sourcing or another commercial arrangement. Submitting such information constitutes a request for evaluation and discussion only.
It does NOT:
- constitute a sale of the machinery
- oblige PROMACH to purchase the machinery
- create an exclusive relationship
- automatically appoint PROMACH as broker or intermediary
- authorise PROMACH to market the machinery publicly.
The person submitting the machinery must be its lawful owner or be duly authorised to act for the owner.
PROMACH may request information concerning: manufacturer, model, serial number and year; location; operating condition and known defects; repairs, modifications and maintenance history; equipment and accessories; available manuals and documentation; ownership, leasing, financing, security interests or third-party rights; access for inspection; dismantling, loading and collection conditions.
Any preliminary valuation based only on photographs, descriptions or documents is indicative unless expressly stated otherwise. PROMACH may decide not to continue an evaluation or negotiation, subject to any obligations already separately agreed. Any purchase, brokerage mandate, exclusivity arrangement or other binding relationship must be agreed separately in writing.
5. Materials Submitted by Users
Users must have the right to provide PROMACH with photographs, videos, documents and other materials submitted through the website or other communication channels.
Users should avoid providing unnecessary personal data of third parties, confidential information, or proprietary information which they are not authorised to disclose.
PROMACH may review, internally reproduce and share submitted materials with persons reasonably involved in evaluating the request, including manufacturers, technical specialists, service partners or advisers, subject to applicable confidentiality and data-protection requirements.
Submission of materials does not transfer ownership or intellectual-property rights to PROMACH. Public advertising or promotional use of user-submitted materials requires an appropriate separate legal basis or agreement.
6. Permitted Use of the Website
The website may be used for legitimate informational and commercial purposes relating to PROMACH's business.
Users must NOT:
- submit unlawful, fraudulent or intentionally misleading content
- impersonate another person or organisation
- transmit malware or harmful files
- attempt unauthorised access to the website, servers or systems
- interfere with the security, availability or normal operation of the website
- use automated or abusive methods which materially impair the website or its infrastructure
- use the website for unlawful purposes.
PROMACH may take reasonable measures to prevent misuse and protect its website, systems and users.
7. Intellectual Property and Third-Party Brands
Texts, graphics, photographs, videos, layouts, technical materials and other website content are owned by PROMACH or by third parties
who have authorised their use, as applicable. Manufacturer names, trademarks, logos and other third-party intellectual-property rights remain the property of their respective owners.
Website content may be viewed and used for legitimate evaluation of a potential business relationship with PROMACH. Commercial reproduction, redistribution or reuse beyond what is permitted by law requires the authorisation of the relevant rights holder.
Reference to a manufacturer, brand or product on the PROMACH website does not, by itself, mean that PROMACH is an authorised distributor, representative or agent of that manufacturer. Any such status will be identified separately where applicable.
8. Website Availability and External Links
PROMACH seeks to maintain reasonable website availability but does not guarantee uninterrupted or error-free access. Access may be temporarily interrupted due to maintenance, updates, hosting or network issues, security measures, or technical events outside PROMACH's reasonable control.
For important commercial matters, users may contact PROMACH directly using the official contact details published on the website.
The website may contain links to third-party websites and services. Third-party websites are operated independently and are subject to their own terms, privacy policies and other rules. PROMACH is responsible for its own website and processing activities but does not control independent third-party websites merely because a link to them is provided.
9. Privacy, Cookies and Commercial Communications
Personal data processed through the website is handled in accordance with the PROMACH Privacy Policy. Information concerning cookies and similar technologies is provided in the PROMACH Cookie Policy and, where applicable, through the website's cookie-preference mechanism.
Submitting an RFQ, contact form or other commercial enquiry does not, by itself, constitute consent to receive optional marketing communications. Where consent is required for marketing, it will be requested separately and may be withdrawn in accordance with the information provided at the time.
Privacy questions may be sent to [email protected]. General website or commercial enquiries may be sent to [email protected].
10. Applicable Law, Contractual Documents and Updates
These Website Terms concern use of the PROMACH website. They do not replace the quotations, contracts or other documents agreed individually with PROMACH, which govern any machinery transaction.
To the extent permitted by applicable law, these Website Terms are governed by the laws of the Republic of Bulgaria. Mandatory rights and provisions which cannot lawfully be excluded remain unaffected.
These Website Terms are published in several languages. In case of any discrepancy between language versions, the English version prevails.
PROMACH may update these Website Terms to reflect changes to the website, business activities or applicable legal requirements. The current version and date of the latest update will be published on the website. Updates apply prospectively and do not, by themselves, modify contracts or rights already validly agreed.
Disputes concerning these Website Terms fall under the jurisdiction of the competent courts in Ruse, Bulgaria, unless mandatory law provides otherwise.
